Terms and Conditions for Service Connector Pro

THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATIONANY ERRORS OR DEFECTS WILL BE CORRECTEDTHE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTSTHE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS
8. Limitation of Liability
IN NO EVENT SHALL SERVICE CONNECTOR PRO, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

IN ANY CASE, OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

You agree to defend, indemnify, and hold harmless Service Connector Pro, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, or your violation of any rights of another.
10. Service Modifications and Availability

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

We may experience hardware, software, or other problems or need to perform maintenance related to the Service, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Service at any time or for any reason without notice to you.

13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
13.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Orange County, California, in accordance with the rules of the American Arbitration Association.
13.3 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or the unauthorized use or disclosure of Confidential Information.
14. General Provisions
14.1 Entire Agreement
These Terms constitute the entire agreement between you and Service Connector Pro regarding the Service and supersede all prior agreements and understandings.
14.2 Waiver
The failure of Service Connector Pro to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
14.3 Assignment
You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without your consent.
14.4 Force Majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, or government action.
